Overview.

Jane has extensive experience acting for domestic and foreign lenders and borrowers across a range of finance transactions.  She has specialist knowledge of syndicated and club lending structures and is recognised for her experience in restructuring and insolvency matters.

Jane has a unique understanding of lender credit requirements having spent time as first in-house counsel to, and then in a loan execution role for, a major New Zealand trading bank, responsible for arranging and structuring loans across its institutional and corporate loan book (including Sustainability-Linked Loans).  Prior to joining Mayne Wetherell Jane was head of the bank’s Syndications and Agency business.

Highlights.

  • ASB, ANZ, BNZ, Kiwibank, Westpac and other domestic and international banks in relation to corporate, acquisition and property finance arrangements, including facilities made available to Whakatane Mill (manufacturing), Bastion Group (technology) and Tally Group (technology).
  • Structuring the secured super-senior and senior financing arrangements to support a management buy-out of NPD (fuel wholesale distributor) acting for the super senior lenders and security trustee.
  • Merricks Capital and other offshore credit funds on property finance and asset finance transactions in New Zealand.
  • NZX-listed borrowers and other corporates in respect of their financing arrangements, including Seeka Limited (kiwifruit supply), Netlogix (digital freight management), Brokerweb Risk Services (insurance) and CP Auckland LP (commercial property).
  • Senior lenders to the solarZero securitisation trusts following the liquidation of solarZero (solar energy).
  • Providing PPSA and priority advice, including acting for an asset financier in relation to the receivership of Trev Terry Marine Limited (asset finance).
  • Voluntary administrators of New Zealand’s first major voluntary administration (retail sector) and the first New Zealand voluntary administration to implement a going concern deed of company arrangement (retail sector). Security trustee on the voluntary administration of the Australian Sara Lee companies (food products) and directors of Brothers Beer in relation to its voluntary administration (beverages).
  • Senior lenders for the restructuring of state-owned enterprise Solid Energy (mining).
  • Receivers of Bridgecorp Finance (at the time the largest receivership of a financial institution in New Zealand for almost 20 years (c.$450m) (financial services)).
  • Various finance companies implementing moratoriums during the GFC (financial services).
