We regularly provide local law support to offshore counsel in relation to transactions involving New Zealand companies or assets.

  • Lenders on multiple take private transactions, including Apax’s acquisition of TradeMe (online marketplace), BGH’s acquisition of Abano (dental support organisation) and BGH and Sixth Street’s acquisition of Pushpay (online payment solutions).
  • Bidders and lenders on multiple private M&A transactions including KKR’s acquisition of Ritchies (transport), Pacific Equity Partners’ acquisition of ACG Colleges (education), Adamantem Capital’s acquisition of Hellers (food).
  • Macquarie Group in relation to its NZ$220m acquisition and financing of the long-term concession to operate SkyCity’s Auckland car parks (projects and real estate).
  • Fonterra (dairy industry), Auckland International Airport (aeronautical infrastructure),, Transpower (energy infrastructure) and Auckland Council (legal authority) on all treasury related matters (including corporate facilities (syndicated and bilateral) various issuances of debt securities in New Zealand (listed retail and wholesale), Australian medium term notes issuances, US private placements and other offshore issuances).
  • Channel Infrastructure in relation to the refinancing of its facilities (fuel infrastructure)
  • Lenders to various utility companies including First Gas, Powerco, Vector and Manawa Energy (energy infrastructure)
  • Merricks Capital, Corbin Capital and other offshore investment funds on a range of their property finance transactions in New Zealand (property finance).
