Relevant Experience
- Broad range of experience in regulatory law – primarily in the financial services sector (including capital markets, non-bank deposit taker, financial advice and services, anti-moneylaundering, derivtiaves and general consumer protection).
- Broad range of experience in corporate, project, structured finance.
- Experience in corporate and private company mergers and acquisitions including utilities, energy and infrastructure, and the financial services sectors.
- Leveraged finance experience, acting for both lenders and borrowers in relation to a broad range of transactions (both in London and New Zealand).
- Capital markets issues (both retail and wholesale), acting for issuers and arrangers, including synthetic CDO structures.
- Advising UK commercial banks and global investment banks in relation to structured finance transactions and securitisation structures.

Regulatory
- Acted for Deutsche Bank in conducting its due diligence, including into all regulatory aspects, in relation to its investment in, and strategic relationship with, Craigs Investment Partners. This covered, amongst other things, application of anti-money laundering regulation, financial service provider regulation, NZX regulation, Securities Act issues and various other regulation applicable to financial service providers.
- Acted for Transpower in relation to successful submissions seeking exemption from application from the non-bank deposit taker regime requirements.
- Acted for Craigs Investment Partners in relation to a successful exemption from application from the non-bank deposit taker regime requirements.
- Provided banking and other financial institutions on-going advice in relation to the application of the FAA and the FSPA.
- Provided general regulatory advice to interntional banks and other financial institutions in relation to ongoing regulatory requirements, including in relation to securities lending activities, provision of retail derivative products, provision of financial advice and consumer protection legislation.
Structured finance / Securitisation
- Acted for CBA and Westpac in relation to the MTF automotive loan and automotive lease receivable programme.
- Acted for UK commercial banks and global investment banks in relation to a range of cross border and domestic structured transactions utilizing structures including:
- co-investment structures;
- sale and repurchase transactions;
- index linked and derivatives based structured lending; and
- SPV financing.
• Acted for a large German bank on structured lending into Iceland.
• Acted for New Zealand high street banks in relation to structured transactions.
• Acted for Deutsche Bank in relation to a range of cross border structured (including derivative based) transactions.
Project / asset finance
Advised ABN AMRO on the off-balance sheet financing of Auckland Hospital Carpark and the subsequent disposition of their equity interest.
Acted for the borrower (Belcogen Limited) in relation to the financing of a co-generation plant in Belize (agri-products and energy industries).
Acted for the sponsor (a B&B entity) in relation to European rolling stock acquisition finance.
Capital markets
- Acted for Deutsche Asset Management in relation to offers of securities in New Zealand and other applicable regulatory requirements.
- Acted for XL Capital Assurance Inc. in relation to the issue of credit-wrapped notes by Powerco.
- Acted for Deutsche on its NZ$ subordinated debt issue.
- Acted for Westpac as arranger in relation to the listed capital notes issue by Hellaby Holdings Limited.
- Advised XL Capital Assurance Inc. in relation to potential credit enhancement products.
- Acted for ABN AMRO and HY-FI Securities on the issuance to the public in New Zealand of HY-FIs (a synthetic CDO).
Leveraged finance and general corporate lending
- Acted for the sponsors in relation to Somerfield (UK) financings.
- Acted for the lending syndicate in relation to the financing of Dufry.
- Acted for the senior syndicate in relation to the restructure of the HT Media financing arrangements.
- Acted for ANZ in relation to general corporate lending on a bilateral basis into the automotive, industrial, rural and local authority sectors.
Emerging markets finance
Acted for the syndicate in relation to the financing of TRUST Bank (Russian) (USD 140m) and have acted on other structured lending deals into Russia.
- Acted for the sponsors (PiLS-UK and CVC International) in relation to the financing of the acquisition of a Turkish pharmaceuticals business (Biofarma İlaç Sanayi ve Ticaret A.Ş.).
Restructuring and Insolvency
- Acted for receivers in Metropolis the receivership.
Corporate
- Acted for Prime Infrastructure (now Babcock and Brown Infrastructure) in relation to the takeover of Powerco, including both on the corporate and funding sides of the transaction.
- Acted for Deutsche Bank in relation to its investment in, and strategic relationship with, Craigs Investment Partners.
- Acted for Transpower in relation to a group restructure.
